This Independent Contractor Agreement (“Agreement”) is between you (“Driver” or “Contractor”) and N-Motion Transportation (“N-Motion” or “Company”). By activating your driver account and accepting trips through the N-Motion Platform, you agree to this Agreement. This document sets out the terms of your engagement as an independent contractor, not an employee.

1. Independent Contractor Status

Driver is engaged as an independent contractor, not as an employee, agent, or partner of N-Motion. Nothing in this Agreement creates an employment relationship. Driver retains the sole right to determine when, where, and how long to work, and may decline any trip. Driver is solely responsible for all taxes, self-employment obligations, and business expenses. N-Motion does not withhold taxes or provide employee benefits.

2. Services

Driver agrees to provide passenger transportation and/or delivery services arranged through the N-Motion Platform. Driver may choose to provide rides only, deliveries only, or both. Driver decides which trip requests to accept and is not obligated to accept any particular request. Driver must hold a valid driver's license and any permits required by the jurisdiction in which Driver operates.

3. Onboarding & Qualifications

Before accepting trips, Driver must complete N-Motion's onboarding process, which includes submitting a valid driver's license, vehicle registration, proof of insurance, and undergoing a background check. Drivers providing passenger rides may be required to complete drug screening. Driver must maintain all qualifications throughout the term of this Agreement and promptly update N-Motion of any changes, including license suspension or insurance lapse.

4. Vehicle & Equipment

Driver is responsible for providing, maintaining, and operating a vehicle that meets N-Motion's standards and all applicable laws. Driver is responsible for fuel, maintenance, repairs, cleaning, and all equipment costs, including a functioning smartphone and data plan. Driver is responsible for ensuring the vehicle passes any required inspections in the operating jurisdiction.

5. Insurance

Driver must maintain, at Driver's own expense, auto insurance meeting the minimum requirements of the state(s) in which Driver operates, including any rideshare or commercial coverage required by law. Driver must provide proof of insurance to N-Motion and notify N-Motion immediately of any lapse, cancellation, or material change. N-Motion may, but is not obligated to, maintain contingent coverage; such coverage does not replace Driver's primary insurance.

6. Background Check & Drug Screening

Driver consents to background checks, including criminal history and driving record checks, conducted by N-Motion or its agents. Drivers providing full passenger service may be subject to drug screening. N-Motion may disqualify or remove any Driver who fails to meet safety standards or whose record indicates a risk to rider safety. Drug screening status and results are tracked in the Driver profile.

7. Compensation & Pay Split

Driver is compensated based on the fares collected for completed trips, less N-Motion's service share. The default pay split is 60% to Driver and 40% to N-Motion, unless otherwise configured in the app settings. Tips belong entirely to the Driver. N-Motion may adjust the pay split, fees, or fare structure from time to time with notice. Driver is not guaranteed any minimum earnings.

8. Payouts

Earnings are paid to Driver via Stripe Connect direct deposit, or by alternative methods Driver has configured (such as CashApp or Venmo). Driver is responsible for completing Stripe Connect onboarding and maintaining valid payout account details. N-Motion is not liable for payout delays caused by Driver's incomplete account setup or by Stripe. Payouts are processed according to the configured pay schedule.

9. Scheduling & Availability

Driver sets their own schedule and availability. Drivers may be assigned scheduled trips in advance; once accepted, Driver is expected to fulfill the trip. If Driver cannot fulfill an accepted scheduled trip, Driver must notify N-Motion promptly. Repeated failure to fulfill accepted trips may result in reduced trip assignments or removal from the Platform.

10. Conduct & Service Standards

Driver agrees to: provide safe, courteous, and professional service; obey all traffic laws; maintain a clean vehicle; arrive promptly for scheduled pickups; confirm the correct rider; and complete trips as requested. Driver must not be impaired by alcohol or drugs while operating on the Platform. Driver must respect rider privacy and not share or misuse rider information.

11. Prohibited Conduct

Driver must not: operate under the influence; accept trips without a valid license or insurance; discriminate against any rider; carry unauthorized passengers; solicit off-Platform transactions to avoid fees; or engage in any illegal activity. Violations may result in immediate suspension, forfeiture of pending earnings, and permanent removal.

12. Confidentiality

Driver agrees to keep confidential all rider information obtained through the Platform, including names, addresses, and contact details, and to use such information solely to complete trips. Driver must not contact riders outside the Platform for non-service purposes or disclose rider information to third parties.

13. Non-Solicitation

During the term of this Agreement and for twelve (12) months after its termination, Driver shall not solicit N-Motion riders to use competing services or to transact outside the Platform to avoid fees. N-Motion may pursue legal remedies for violations of this section.

14. Term & Termination

This Agreement begins when Driver activates the account and continues until terminated. Either party may terminate this Agreement at any time, with or without cause, by deactivating the account or providing notice. N-Motion may suspend or terminate Driver immediately for safety violations, fraud, loss of qualifications, or breach of this Agreement. Upon termination, Driver will receive any earned but unpaid compensation, less any amounts owed to N-Motion.

15. Limitation of Liability

N-Motion is not liable for any injury, damage, or loss arising from Driver's operation of a vehicle or performance of services. Driver assumes all risk associated with providing transportation and delivery services and is solely responsible for any claims by riders, third parties, or insurers. Driver agrees to indemnify N-Motion against claims arising from Driver's acts or omissions.

16. Governing Law & Arbitration

This Agreement is governed by the laws of the Commonwealth of Kentucky. Any dispute arising from this Agreement shall be resolved through binding arbitration, with the arbitrator selected under applicable rules. Driver waives any right to participate in a class action. Either party may seek injunctive relief in court to protect intellectual property or confidential information.

17. Acknowledgment

By accepting trips, Driver acknowledges having read and understood this Agreement, having had the opportunity to consult an attorney, and agreeing to be bound by its terms.
