N-Motion Transportation (“N-Motion,” “we,” or “us”) operates a technology platform that connects riders and shippers with independent contractor drivers for on-demand rides, scheduled rides, and delivery services. N-Motion is not a transportation carrier. Drivers are independent contractors, not employees or agents of N-Motion. N-Motion facilitates the connection between users and drivers but does not itself provide transportation.

You must register an account to use most features. You agree to provide accurate, current information and to keep your account credentials secure. You are responsible for all activity under your account and must not share your account with others. We may suspend or terminate accounts that violate these Terms.

You must be at least 18 years old and legally able to enter into contracts to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

You may request on-demand rides, schedule rides in advance, or request deliveries through the Platform. When you book, you authorize N-Motion to match you with an available driver. Fares are estimated based on distance, time, demand, vehicle type, and applicable surcharges; the final fare may differ. For scheduled rides, you agree to be available at the agreed time and location.

Fares are calculated using dynamic pricing that may vary by time of day, demand, distance, vehicle type, number of passengers, stops, wait time, and after-hours surcharges. Applicable fees may include booking fees, cancellation fees, no-show fees, wait-time fees, stop fees, pet fees, cleaning fees, and lost-and-found fees. Payments are processed through Stripe. You authorize us to charge the selected payment method for the final fare, including any additional fees. A minimum fare may apply.

You may cancel a ride without charge before a driver is assigned or within the free cancellation window. After a driver is assigned or has begun traveling to you, a cancellation fee may apply. If a driver arrives and you do not appear within the grace period (typically 5 minutes), a no-show fee may be charged. Wait time beyond the grace period is billed at the posted per-minute rate.

For deliveries, you must accurately describe the package, its size, and any special handling. You are responsible for ensuring the package is legal to transport and properly packaged. Prohibited items include hazardous materials, illegal substances, firearms, and perishables requiring refrigeration unless arranged in advance. N-Motion and its drivers are not responsible for items damaged due to inadequate packaging.

The Platform offers a loyalty points program and referral bonuses. Points have no cash value and may be redeemed for discounts or merchandise subject to program terms. We may modify, suspend, or terminate the loyalty program at any time. Referral bonuses are subject to fraud review and may be revoked if abuse is detected.

You agree not to: abuse, harass, or threaten drivers, other users, or N-Motion staff; damage vehicles; provide false information; use the Platform for illegal purposes; attempt to circumvent payment; or interfere with the Platform's operation. Violations may result in fees, suspension, or permanent removal from the Platform.

The Platform is provided on an “as is” and “as available” basis. We do not guarantee that a driver will be available, that any trip will be completed, or that arrival times will be met. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

To the fullest extent permitted by law, N-Motion and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, or for any loss arising from the acts or omissions of drivers, who are independent contractors. Our aggregate liability for any claim arising from the Platform is limited to the amount you paid us for the relevant trip.

You agree to indemnify and hold harmless N-Motion and its affiliates from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any law or third-party rights.

The Platform, including its design, content, and branding, is owned by N-Motion and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Platform without our permission.

You may delete your account at any time through the Profile section of the app or by contacting support. Upon deletion, your personal data will be removed subject to legal retention requirements. Deleting your account does not automatically cancel pending trips or outstanding balances.

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Platform shall be resolved through binding arbitration, except for small-claims matters that may be brought in a court of competent jurisdiction. You waive any right to participate in a class action.

We may update these Terms from time to time. Material changes will be communicated through the app or by other reasonable means. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
